1. Acceptance of Terms and Service Description

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "Customer") and Ingron OÜ (operating as Adminy AI, "we", "us", or "our"). Adminy AI provides a cloud-based Software-as-a-Service (SaaS) platform offering 24/7 automated artificial intelligence receptionist tools, appointment scheduling, calendar synchronization, and messaging integrations (collectively, the "Service").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Accounts and Security

To access the features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your account credentials and passwords.
• Promptly notify us at support@adminyai.com if you suspect unauthorized access to your account.
• Take full responsibility for all activities that occur under your account.

3. Free Trial, Subscription Plans, and Billing Terms

Adminy AI operates on a subscription basis with recurring monthly billing handled securely through Stripe.

Subscription Tiers:

• Adminy AI Starter ($49.00 USD / month): Includes the website AI chat widget, business mini-site booking, 2-way Apple Calendar & Google Calendar synchronization, email notifications, up to 10 services, and up to 3 staff members.
• Adminy AI Pro ($79.00 USD / month): Includes all Starter features, plus automated 24/7 Instagram Direct AI Receptionist, Facebook Messenger AI Receptionist, unlimited services, unlimited staff members, and priority VIP support.

Auto-Renewal & Recurring Payments (Apple App Store Guideline 3.1.2 Compliant):
Subscriptions automatically renew on a recurring monthly billing cycle on the same day each month unless canceled prior to the renewal date. By subscribing, you authorize Adminy AI (via Stripe) to charge the applicable subscription fee to your designated payment method.

Cancellation & Refund Policy:
You may cancel your subscription at any time with zero cancellation fees directly from your Dashboard underSettings → Manage Subscription & Invoices (Stripe Customer Billing Portal). Upon cancellation, your subscription remains active until the end of your current paid billing period, and no further charges will be incurred. All payments are non-refundable except where required by mandatory law.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, national, or international laws or regulations.
• Send unsolicited commercial bulk messages, spam, or abusive communications.
• Transmit any defamatory, harassing, fraudulent, obscene, or infringing content.
• Impersonate any person, business, or entity.
• Attempt to reverse-engineer, decompile, or compromise the security or integrity of the platform.
• Use the AI system to generate medical, legal, or financial professional advice outside the scope of salon and appointment booking.

We reserve the right to suspend or terminate accounts that violate our Acceptable Use Policy without prior notice.

5. Artificial Intelligence Disclaimer

Adminy AI provides an algorithmic artificial intelligence assistant to automate client consultations and scheduling. While our AI models are engineered for high precision, AI-generated communications are provided on an "as-is" advisory basis. You acknowledge and agree that:

• You maintain ultimate oversight and responsibility for your business pricing, staff availability, and salon policies.
• You can review, modify, or cancel any appointment directly from your Adminy Dashboard or connected calendar at any time.
• Adminy AI is not liable for inadvertent scheduling discrepancies or customer misunderstandings.

6. Intellectual Property Rights

All intellectual property rights, trademarks, software code, UI designs, and proprietary algorithms of Adminy AI remain the exclusive property of Ingron OÜ. We grant you a revocable, non-exclusive, non-transferable license to use the Service in accordance with your paid subscription tier.

You retain full ownership of all business trademarks, client data, and content you upload to the platform.

7. Account Deletion and Termination

You may delete your account at any time directly through the Dashboard under Settings → Delete Account. Upon account deletion, all your business data and client records will be permanently removed in accordance with our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ingron OÜ, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Our total aggregate liability under these Terms shall not exceed the amount actually paid by you to Adminy AI in the three (3) months preceding the claim.

9. Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Republic of Estonia and the European Union, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of Tallinn, Estonia.
